01The parties
Yeh agreement you (the customer entity, "Customer") aur Aliens Pvt. Ltd. (India) along with its EU representative Aliens Software GmbH (Berlin) — collectively "we", "us", "A'nil Cyborg" — ke beech hai.
EU/EEA customers contract with Aliens Software GmbH. Rest of the world contracts with Aliens Pvt. Ltd. India. Either way, the same product, same support, same SLA.
By creating an account, signing an order form, or using the service, tum agree karte ho ki yeh terms tum par binding hain.
02What you get
The “Service” = one or more Cyborgs (digital employees) running on your isolated tenant, the connectors you configure, the audit log, the dashboard, support, and updates.
- One Cyborg per role per seat. Multiple roles = multiple Cyborgs (multi-discounted, see pricing).
- Updates: monthly model upgrades, weekly product upgrades, daily security patches — all automatic.
- Support: shared with your account-team, response in business hours; P1 incidents 24×7 (see SLA).
- Beta features: clearly labelled "BETA". Use at your own pace; we may break/change them with 7 days notice.
03Your account
- You are responsible for who you let into your tenant. Use SSO + MFA — both supported, both free.
- You are responsible for keeping your billing info current. Bounced cards = service paused after 14 days, terminated after 60.
- One human owner per Cyborg is mandatory — see security. No anonymous deployment.
- One organisation per workspace. If you operate multiple legal entities, each gets its own contract + workspace.
04Payment & billing
- Currency: USD or EUR or INR — locked at signup. Conversion-rate risk is on us, not you.
- Billing cycle: monthly in advance. Annual prepay = 2 months free.
- Taxes: shown separately. GST (India), VAT (EU), reverse charge supported with valid VAT ID.
- Late payment: 14-day grace, then 1.5%/month interest (or local statutory minimum, whichever is lower).
- Price changes: 60 days written notice. Existing seats locked at signup price for 12 months minimum.
- Invoices: auto-emailed; download via dashboard; tax-compliant in your jurisdiction.
05Trials & refunds
- 14-day evaluation for design partners — no card required, no auto-conversion.
- 30-day money-back on first paid month, no questions asked. Email billing@anilcyborg.com; refund processed within 7 days.
- Pro-rata refunds for unused annual prepay if we materially breach. Otherwise annual is committed.
- No refund for usage beyond included quotas (LLM tokens, integration calls), since we paid upstream providers for that compute.
06Acceptable use
Don't use a Cyborg to do things you wouldn't let a human employee do. Specifically:
- No illegal activity — anywhere, in any jurisdiction your Cyborg touches.
- No harassment, deception, or impersonation of real people without consent. A Cyborg writing as a generic "Sales rep at Acme" is fine; a Cyborg writing as a specific human without their permission is not.
- No election interference, deepfakes, or manipulated political content. Hard line. Account closed, no refund, reported where required.
- No CSAM, no terrorism, no weapons design, no biosec evasion. Account closed immediately + reported.
- No security testing without written scope. Bug bounty welcome — see security page.
- No mass-scrape of third-party sites in violation of their ToS.
- No reselling raw Cyborg API access without our written consent.
Violation = warning, then suspension, then termination. For categories 3-4 above, no warning — direct termination.
07Intellectual property
Your work YOURS
Everything you put in (data, prompts, files) and everything your Cyborg produces (code, designs, replies, decisions, reports) is your property. We claim zero IP on your work, on its outputs, or on any derivatives.
Our software OURS
The platform — WebOS, Aliens SDK, the Cyborg runtime, the connectors we wrote — remains our IP. You get a non-exclusive, non-transferable licence to use it for the duration of your subscription. No reverse engineering, no resale of platform itself.
Open source
Some components are open-sourced under permissive licences (Apache 2.0, MIT). Their licence wins for those parts.
Feedback
If you send us product feedback, we may use it to improve the product without attribution or compensation. (No, this doesn't mean training models on your data — read privacy §06.)
08AI output & warranties
- AI is probabilistic. Cyborgs make mistakes. Trust Levels (T1–T4) exist so humans approve high-stakes work. You set the trust level per skill — see docs.
- Hallucinations and errors are real risks. We minimise them with retrieval, audit, and human-in-the-loop primitives, but we cannot warrant zero error.
- You retain responsibility for outputs you ship to customers, regulators, or production. The Cyborg drafts; you approve T3/T4 work.
- The service is provided "as-is" beyond the SLA in §09. Implied warranties (merchantability, fitness for purpose) are disclaimed to the maximum extent permitted by law — except where local consumer law overrides.

Credits are applied to next invoice. Excluded: scheduled maintenance windows (announced 7 days in advance), force majeure, your own connector misconfig, upstream LLM provider outages beyond our redundancy.
10Security & data
Full details: security page + privacy policy. Headlines:
- Per-tenant isolation. One Cyborg, one machine, one customer.
- Encryption at rest (AES-256) + in transit (TLS 1.3). Per-tenant KMS keys.
- SOC 2 Type II — audit in progress (Q3 2026 target). ISO 27001 — Q1 2027 target.
- 72-hour breach notification per GDPR Art. 33.

11Confidentiality
Each side keeps the other's confidential information confidential — same level of care you'd give your own (minimum: reasonable). NDA is implicit in this agreement; no separate NDA needed unless your procurement insists.
Confidential includes: your tenant data, our pricing, our roadmap, our security architecture details. Excludes: anything publicly available, independently developed, or required to be disclosed by court order (with notice to the other party where allowed).
Survives termination by 3 years.
12Liability cap
Total aggregate liability of either party in any 12-month period is capped at the fees you paid us in that period. Special carve-outs (each party's liability is uncapped):
- Wilful misconduct or gross negligence
- Breach of confidentiality (§11)
- Breach of IP warranties (§07)
- Indemnity obligations (§13)
- Anything that cannot be capped under applicable law (e.g. death, personal injury)
No party is liable for indirect, consequential, or punitive damages. (Yeh standard hai — but worth saying plainly.)
13Indemnity
We indemnify you against third-party IP claims that our platform itself infringes their IP — provided you notify us promptly, let us control the defence, and don't settle without our consent. We can, at our option, modify the service, license the IP, or refund unused fees + terminate.
You indemnify us for: your misuse of the service, content you (or your Cyborg under your direction) publish that violates third-party rights, and your breach of §06 Acceptable Use.
14Term & termination
- Term: month-to-month by default; annual if you prepay.
- You can terminate anytime from the dashboard. Service runs until end of current paid period.
- We can terminate for: material breach (with 30-day cure period), non-payment (with 14-day cure), or §06 violation (immediate for hard categories).
- On termination: 30-day data export window, then hard delete per privacy §08.
- Survives termination: §07 (IP), §11 (confidentiality), §12 (liability), §13 (indemnity), §16 (disputes).
15Export & sanctions
You confirm you are not located in, nor will you provide access from, any country subject to comprehensive sanctions by India, the EU, the UK, or the US (including but not limited to Cuba, Iran, North Korea, Syria, Crimea/Donetsk/Luhansk regions). You confirm you are not on any sanctioned-persons list.
If your situation changes, tell us — we'll work with you to wind down compliantly.
16Disputes & governing law
- India entity: Indian law governs. Disputes go to arbitration under the Indian Arbitration and Conciliation Act, 1996. Seat: Mumbai. Single arbitrator. English language.
- EU entity: German law governs. Disputes go to arbitration under DIS rules. Seat: Berlin. Single arbitrator. English language.
- Step 1 always: talk to us first. legal@anilcyborg.com. 99% of issues resolve in email.
- Consumer rights in your jurisdiction (where applicable) are not waived by this clause.
17Changes to these terms
Material changes get 30-day advance email + a banner in the product. If you don't accept, you may terminate before the changes take effect, with full pro-rata refund of any prepay. Small clarifications get a changelog entry only.

- v2.0 · APR 9, 2026 Public launch. Rewritten in plain English. Indian arbitration seat clarified.

18Miscellaneous
- Entire agreement: these terms + your order form + the privacy policy + the DPA = the whole deal between us.
- Order of precedence: signed order form > these terms > privacy policy > documentation.
- Severability: if a court strikes one clause, the rest still stands.
- No waiver: if we don't enforce a clause once, we still can later.
- Assignment: you can't assign without our consent (except to an affiliate or in a merger). We can assign to an Aliens-group entity or in a merger.
- Force majeure: neither side liable for delays caused by events beyond reasonable control (war, natural disaster, internet-backbone outage, government action).
- Notices: email to addresses on file is valid written notice.
- No agency: nothing here creates partnership, joint venture, or employment.
